Bylaw 1

SECTION 1 – MEMBERSHIP

All prospective Full Members must submit an application form accompanied by membership dues. Said application to be approved or rejected by the Executive Board. If rejected, the President shall provide an explanation and a full refund will be made.

Renewal of membership does not need to be approved by the Executive Board.

SECTION 2 – DUES

Annual Full Membership and Classified membership dues will be due on June 30 of each year and will cover membership for July 1 – June 30 of the next year.  Prorated Full Memberships and Classified Memberships are also available and will cover the month of application through June 30 of that year.

SECTION 3 – TYPES OF MEMBERSHIP

Full Membership

Full membership allows one (1) adult (over 18) to do the following:

• Vote in SELAS elections.

• Serve as an officer of the club (if elected).

• View and post on the entire SELAS website and other online formats.

• Receive the official publication.

• Receive a Membership Card.

• Participate in social events.

• Buyer’s Number for Live Auctions (where numbers are required).

• Full membership is $24 / year.

Family Membership

Family membership allows two (2) adults (over 18) to do the following:

• Vote in SELAS elections.

• One (1) person may serve as an officer of the club at a given time (if elected).

• View and post on the entire SELAS website and other online formats.

• Receive the official publication.

• Receive two (2) Membership Cards.

• Participate in social events.

• One (1) buyer’s Number for Live Auctions (where numbers are required).

• Family membership is $36 / year.

Associate Membership

Associate membership allows one (1) adult (over 18) to do the following:

• View and post on the entire SELAS website and other online formats.

• Receive the official publication.

• Participate in social events.

• Associate membership is free.

LFS Membership

LFS (Local Fish Store) membership allows one (1) adult representing a local fish store to do the following:

• View on the entire SELAS website and other online formats.

• Post on the entire SELAS website and other online formats.

• Have a special section on the website dedicated to the LFS.

• Receive the official publication.

• Participate in social events.

• LFS membership is free.

LFS membership is limited to stores that have a physical location, business hours and a business license.  LFS membership is NOT to be allowed for home businesses, or maintenance only businesses.  LFS membership is granted at the discretion of the Executive Board and will be reviewed annually.

Senior Membership

Senior membership allows one person over the age of 65 to do the following:

• Vote in SELAS elections

• Serve as an officer of the club (if elected).

• View and post on the entire SELAS website and other online formats.

• Receive the official publication.

• Receive a Membership Card.

• Participate in social events.

• Buyer’s Number for Live Auctions (where numbers are required).

• Senior membership is free.

Junior Membership

Junior membership allows one (1) child (between 13 and 18) to do the following:

• View and post on the entire SELAS website and other online formats.

• Receive the official publication.

• Receive a Membership Card.

• Participate in social events.

• Junior membership is free.

SECTION 4 – REINSTATEMENT

In the event any member drops out or is expelled from the society for a period of one year or more and wishes to rejoin, he may rejoin the society. At the discretion of the Executive Board, full former membership rights and privileges may be reinstated. No cancellations or refund of dues shall be paid if a member resigns before the close of his membership year.

SECTION 5 – NON-PAYMENT OF DUES

Non-payment of dues by a member shall be considered equivalent to a resignation. The member will be moved into Associate Membership status.

Bylaw 2

SECTION 1 – Duties of Officers

President

The President has the following duties:

• Preside at all general meetings and Executive Board meetings at which he/she is present.

• Exercise general supervision over the affairs and activities of the society

• Serve as a member ex-officio on all committees

• Appoints all committee chairpersons (subject to the approval of the Executive Board)

• Nominate any member to do the following:

• Fulfill the duties of an Executive Board member for any meeting where a quorum has been established.

• For Executive Board meetings, these members will not have voting power.

• Moderate the online presence of the Society with the authority to issue suspensions as needed

• Serve in any other capacity as required elsewhere in the Constitution and Bylaws.

Vice-President

The Vice-President has the following duties:

• In the absence of the President, assume the duties of the President.

• Assume the duties of the President should the President be unable to fulfill his / her term as President

Treasurer

The Treasurer has the following duties:

• Receive all society funds and keep them in a bank or repository selected or approved by the Executive Board.

• Accurate records must be kept of all monetary transactions

• Require a bill or signed voucher for all disbursements

• Issue receipts for all incoming funds

• Present a quarterly financial report to the Executive Board (either electronically or in person)

• Present a condensed report at general meetings

• Provide a copy of all records from the previous year to the Budget Committee for an annual audit between July 1 and July 15.

Secretary

The Secretary has the following duties:

• Keep the original minutes of all Executive Board and General Meetings of the society which shall be an accurate and official record of all business transactions.

• Make a copy of these minutes available in electronic form on the SELAS website within 30 days of the meeting occurrence

• Communicate with donators and make copies of all donations received available to the Executive Board.

Sergeant-at-Arms

The Sergeant-At-Arms has the following duties:

• Insure that all general meetings and other functions are conducted in an orderly manner

• Render assistance in any capacity for which he / she may be called upon.

BYLAW 3

Vacancy of an Elected Office

In the event of a vacancy of any elected office (as defined in the Constitution) for any reason, the President shall appoint a successor to serve the unexpired term within thirty (30) days of the vacancy.

BYLAW 4

Voting Regulations

In order for a Full Member to vote on any issue he / she must be present at the time the vote is taken, and meet all the qualifications of the Constitution.

BYLAW 5

SECTION 1 – EXPULSION

The Executive Board, by three-fifths (3/5) majority vote, can expel any member of the society for the following reasons:

A. Conduct unbecoming a member of the society.

B. Malfeasance in office.

SECTION 2 – SUSPENSION

Any member of the Executive Board or any Full Member as designated by the President can issue a suspension to any member of the Society for online conduct unbecoming a member.   The term of the suspension shall be as follows:

A. 1st Offense – 1 Week Suspension

B. 2nd Offense – 1 Month Suspension

C. 3rd Offense or Greater – Case gets referred to the Executive Board

BYLAW 6

SECTION 1 – COMMITTEES

The standing committees are:

A. Social

B. Breeders Award Program

C. Publication

D. Online Presence

E. Membership

F. Budget

The President, with the approval of the Executive Board shall appoint the chairpersons from the general membership. The chairpersons may establish their committees from the general membership.

SECTION 2

The President shall establish or dissolve such special committees, with the advice and consent of the Executive Board, as from time to time may be required, to sustain the functions of the society.

BYLAW 7

Quorum

One fourth (1/4) of the membership, with a minimum of ten (10) shall constitute a quorum at the regular meetings of the society requiring a vote.

In order for an online election to be valid, at least 10 voting members must have cast votes.

At Executive Board meetings, three-fifths (3/5) of the Executive Board of the society shall constitute a quorum.

BYLAW 8

Order of Business

The order of business at all meetings of the society shall be as follows:

1. Call the meeting to order.

2. Reading of the minutes of the previous meeting, unless published.

3. Reading of the Treasurers’ report.

A. At the Board of Directors – full report.

B. At the general meetings – condensed report except for unusual transactions.

4. Old business.

5. New business.

6. Program.

7. Any other society functions.

8. Adjournment.

BYLAW 9

Amendments

Proposed amendments to the Bylaws will be submitted in writing to the Executive Board, signed by three (3) Members that are eligible to vote as defined by the SELAS Constitution. The board will investigate and make their recommendations available online within sixty (60) days. Voting will proceed online for the period of one week with a simple majority of the members that voted required for passage.

BYLAW 10

Board of Directors

• Must always have 3 members to follow Louisiana law

• Will initially consist of Clay Trachtman, Robert Graham and CJ Bourg

• In the event of a member of the Board of Directors leaving the club, the remaining members will nominate and accept a new member from the Full Membership

• Act in good faith as leaders of the society until the inaugural election takes place and a president takes office

BYLAW 11

Dissolution

In the event of the dissolution of this society, any remaining funds and other assets will be donated to the Audubon Aquarium of the Americas, located in New Orleans, LA.

BYLAW 12

This Constitution and Bylaws shall supersede all previous documents and shall become effective upon approval by the Board of Directors.
